Terms of Service

These Terms of Service ("Terms") govern your access to and use of Métier (the "Service"), operated by Brilliance Direct LLC, a New York limited liability company, doing business as "Métier" ("Métier," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

The Service is intended for business use by wholesale and luxury-goods sales organizations and their representatives. You must be at least 18 years old and able to form a binding contract. You represent that you are using the Service on behalf of a business and have authority to bind that business to these Terms. The Service is currently offered to customers in the United States.

2. The Service

Métier is a customer-relationship and field-sales tool that includes account records, visit and quote tracking, route and quota planning, messaging, and AI-assisted features such as pre-visit briefings, message drafting, and reply extraction. We may add, change, or remove features over time.

3. Accounts and security

You are responsible for the accuracy of your account information, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. Each workspace's data is isolated from other customers' workspaces.

5. Non-payment, suspension, cancellation, and data lifecycle

If a payment fails, your workspace is marked past due. If it remains unpaid for five business days, the workspace is locked (access restricted until payment is restored). A workspace that remains locked for 30 days is canceled. After cancellation, your operational data is retained for 90 days so you can reactivate and resume where you left off; after 90 days, operational data is permanently deleted. You may cancel at any time; cancellation stops future renewals but does not entitle you to a refund of amounts already paid.

6. Your data and your responsibilities

As between you and Métier, you own the data you put into the Service, including your account, contact, visit, quote, and message records ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service for you.

Much of the Customer Data you enter describes your customers and contacts (names, business contact details, purchase history, and the content of communications). You represent and warrant that you have all rights, consents, and lawful bases necessary to upload that information and to use the Service to communicate with those contacts, and that you will comply with all laws applicable to your use, including marketing, anti-spam, and privacy laws.

7. AI-assisted features

Certain features use artificial intelligence to generate content such as briefings, draft messages, and structured suggestions from inbound emails. To do this, relevant Customer Data is sent to our AI provider (Anthropic) to generate the requested output. See our Privacy Policy and AI Disclosure for details.

AI output may be inaccurate, incomplete, or unsuitable. It is provided to assist you, not to replace your judgment. You are responsible for reviewing any AI-generated content before relying on it or sending it, including messages sent to your customers. We make no warranty that AI output is accurate or fit for any purpose.

8. Acceptable use

You agree not to: (a) use the Service unlawfully or to violate others' rights; (b) upload data you do not have the right to use; (c) send unlawful, deceptive, or unsolicited communications; (d) attempt to access another customer's workspace or data; (e) reverse engineer, scrape, or overburden the Service; (f) circumvent usage limits, including AI fair-use caps; or (g) use the Service to build a competing product.

9. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Métier and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We welcome feedback and may use it without obligation to you.

10. Third-party services

The Service relies on third parties including Stripe (payments), Supabase and Cloudflare (hosting and infrastructure), and Anthropic (AI). Optional integrations you choose to connect — such as Gmail or Outlook for sending email — are governed by those providers' terms, and your use of them is at your discretion.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MÉTIER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. 13. Indemnification

You agree to indemnify and hold harmless Métier and its affiliates from claims, losses, and expenses arising out of your Customer Data, your use of the Service, your communications with your contacts, or your breach of these Terms.

14. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you breach these Terms or for non-payment as described above. Sections that by their nature should survive termination will survive.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app). Your continued use after changes take effect constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The state and federal courts located in New York County, New York will have exclusive jurisdiction, unless otherwise required by law.
